1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you and PALUS AI (doing business as Palus), concerning your access to and use of the https://lpamusement-palus.comwebsite and the Palus AI operations platform (collectively, the "Services").

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.

2. DESCRIPTION OF SERVICES

Palus AI is a business operations platform for amusement and entertainment operators. The Services include:

• Equipment uptime monitoring and alerting across jukebox, ATM, and arcade device portfolios
• Revenue tracking and reporting across multiple business lines
• Missed call processing, voicemail transcription, and intelligent call routing
• Operational alerts delivered via SMS and email to authorized recipients
• Bank transaction data and reconciliation via third-party integrations
• AI-powered operational summaries and query interface

3. USER ACCOUNTS

If you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. SMS COMMUNICATIONS

By enrolling to receive SMS notifications through the Services, you consent to receive text messages from Palus AI at the phone number provided. Message and data rates may apply. Message frequency varies based on operational activity.

• Reply STOP to opt out of SMS messages at any time.
• Reply HELP for assistance.
• Mobile numbers are not shared with third parties for marketing purposes.

5. ACCEPTABLE USE

You may not access or use the Services for any purpose other than that for which we make the Services available. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
• Use the Services to transmit any unsolicited or unauthorized advertising or promotional material
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

6. INTELLECTUAL PROPERTY

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Palus AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations purposes in accordance with these Terms.

7. THIRD-PARTY SERVICES AND INTEGRATIONS

The Services integrate with third-party services including Twilio (telephony), Plaid (bank data), Anthropic (AI), Resend (email), Clerk (authentication), Vercel (hosting), and Sentry (error monitoring). Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the practices of any third-party services.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PALUS AI NOR ANY PERSON ASSOCIATED WITH PALUS AI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL PALUS AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. TERMINATION

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the Services will cease immediately.

11. GOVERNING LAW

These Terms shall be governed by and defined following the laws of the State of Florida, United States. Palus AI and yourself irrevocably consent that the courts of Florida shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.
